Prey Upon

When {prey upon} is played, if one creature is a 3/1 with first strike, and the other creature is a 2/3, does the creature with first strike still kill first without taking damage? Or does Prey Upon negate abilities?

First strike has no bearing on fighting the same way trample doesn't either. First strike only effects combat.

Prey upon negates abilities that use actual combat. "Fighting" literally just has the two creatures deal damage to each other equal to their power. Deathtouch, Lifelink, Infect and the like all still work, because they just require damage to be dealt. But combat damage abilities such as First/Double Strike and Trample have no effect.

Combat Damage: Damage dealt during the combat damage step by attacking creatures and blocking creatures as a consequence of combat. See rule 510, "Combat Damage Step."
Furthermore,

Fight: When two creatures fight, each deals damage equal to its power to the other. See rule 701.10, "Fight."
It was just a common enough thing that they were going to be using in text that they gave it a name. It shortens descriptors and text boxes. Just like how they use the words die and dies, it's for convenience. It has absolutely nothing to do with combat damage, unless it specifically say otherwise.
