Title: Lingering souls

My opponent flashbacks a {Lingering Souls} can I activate {Deathrite Shaman}'s ability and exile his souls before it resolves?

I believe once the costs are paid, and the spell {Lingering Souls} is announced for its flashback cost - it is no longer a targetable card in the graveyard.

Basically once it's on the stack, it cannot be targeted anymore.

Absolutely. By the time you get priority, it is no longer in the graveyard. If you want to prevent your opponent casting a spell with flashback, you'd need to exile it before they cast it.

What if the reverse was to happen. If I tried to use {Deathrite Shaman} to exile the {lingering souls} before he tries to flash it back, he can respond by then flashing it back, right?

Yes and no. In this instance, it would not work, since {Lingering Souls} is a sorcery, and you still must follow time restrictions. If it were an instant, you could respond to the shaman.
